1. Acceptance of Terms

Welcome to MonuCore. By accessing or using our website, software platform, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and MonuCore ("MonuCore," "we," "us," or "our"). We reserve the right to update these Terms at any time, and continued use of the Services after such changes constitutes acceptance of the modified Terms.

2. Description of Services

MonuCore provides a cloud-based software platform and professional services designed specifically for monument companies, funeral homes, and cemeteries. Our Services include:

• • Design and production tracking software (MonuDraw)
• • Marketing automation and analytics
• • Professional services including website design, SEO, PPC management, and consulting
• • Integration services with third-party platforms

3. User Accounts and Registration

To access certain features of the Services, you must create an account. You agree to:

• • Provide accurate, current, and complete information during registration
• • Maintain and promptly update your account information
• • Maintain the security of your password and account credentials
• • Accept responsibility for all activities that occur under your account
• • Notify us immediately of any unauthorized access or security breach

You are responsible for all activity under your account, whether authorized or not. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Billing

MonuCore offers various subscription plans (Manager, Designer, Marketer) with different features and pricing. By subscribing, you agree to:

• • Authorize recurring charges to your payment method
• • Accept that fees are non-refundable except as required by law
• • Understand that subscription fees may change with 30 days' notice

Billing Cycles: Subscriptions are billed monthly or annually based on your selection. Your subscription automatically renews unless cancelled before the renewal date.

Upgrades and Downgrades: Plan changes take effect as described in our FAQ. Upgrades are prorated; downgrades take effect at the next billing cycle.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

5. Professional Services

MonuCore offers professional services including website development, SEO, PPC management, and consulting. These services are provided under separate agreements or statements of work that supplement these Terms.

Service deliverables, timelines, and pricing are specified in individual project agreements. Payment terms for professional services may differ from subscription billing.

6. Acceptable Use Policy

You agree not to use the Services to:

• • Violate any applicable laws, regulations, or third-party rights
• • Transmit malware, viruses, or harmful code
• • Attempt to gain unauthorized access to our systems or other users' accounts
• • Interfere with or disrupt the Services or servers
• • Use automated systems (bots, scrapers) without written permission
• • Impersonate any person or entity
• • Harass, abuse, or harm other users
• • Upload illegal, offensive, or inappropriate content

7. Intellectual Property Rights

MonuCore's IP: All software, trademarks, logos, content, and materials provided through the Services are owned by MonuCore or our licensors and are protected by copyright, trademark, and other intellectual property laws.

License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended business purposes, subject to these Terms.

Your Content: You retain ownership of data, designs, and content you upload to the Services ("User Content"). By uploading User Content, you grant us a license to store, process, and display it solely to provide the Services.

8. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal information are governed by our Privacy Policy.

We implement industry-standard security measures to protect your data, including SSL/TLS encryption, role-based access controls, and regular backups. However, no system is completely secure, and we cannot guarantee absolute security.

You own your data. You may export your data at any time, and upon account termination, you retain ownership of your information.

9. SMS and Communication Consent

Opt-In Consent: By using MonuCore's Services, you acknowledge and agree that MonuCore and its subscribers may send SMS text messages and emails to customers for transactional and informational purposes related to monument orders and services.

Types of Messages: Messages may include:

• • Proof approvals and design updates
• • Payment confirmations and reminders
• • Appointment and delivery scheduling
• • Service-related announcements

Message Frequency: Message frequency varies based on your interactions with the service. You may receive multiple messages per order or transaction.

Opt-Out Instructions: You may opt out of receiving SMS messages at any time by replying STOP to any message. You may also contact the monument company directly or email us at support@monucore.com to update your communication preferences. Opting out of SMS will not affect transactional emails required for service delivery.

Message and Data Rates: Standard message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Supported Carriers: Messages are sent via industry-standard carriers. Supported carriers include AT&T, T-Mobile, Verizon, and most major U.S. carriers.

Privacy: Your phone number and communication data are handled in accordance with our Privacy Policy. We do not sell or share your phone number with third-party marketers.

10. Warranties and Disclaimers

Service Availability: We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Services are provided "as is" and "as available" without warranties of any kind.

Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONUCORE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONUCORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless MonuCore, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

13. Third-Party Services and Links

The Services may integrate with or link to third-party services (QuickBooks, Stripe, Google Workspace, etc.). These third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services or content.

14. Termination

By You: You may terminate your account at any time by cancelling your subscription through your account settings.

By Us: We may suspend or terminate your access to the Services immediately if you breach these Terms, engage in fraudulent activity, or for any reason with 30 days' notice.

Effect of Termination: Upon termination, your right to access the Services ceases immediately. You may request an export of your data within 30 days of termination.

15. Dispute Resolution and Governing Law

Governing Law: These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict of law principles.

Arbitration: Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except that you may assert claims in small claims court if they qualify.

16. General Provisions

Entire Agreement: These Terms, along with our Privacy Policy and any additional agreements, constitute the entire agreement between you and MonuCore.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment: You may not assign these Terms without our written consent. We may assign our rights to any successor or affiliate.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
